Introduction Welcome to Curiosity Automation OPC Private Limited. These Terms and Conditions (“Terms”) govern your use of our website, applications, software, digital platforms, and all services offered by us, including software development, automation solutions, and digital marketing services. By engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional agreements mutually executed. If you do not agree, you must discontinue use immediately. 2. Definitions For the purpose of these Terms: “Client/User/You” refers to any person, business, or organization engaging with our services. “Services” means software development, web/mobile applications, automation, hosting, consulting, training, and digital marketing solutions provided by the Company. “Deliverables” refers to the final output of services, such as source code, campaigns, websites, or reports. “Intellectual Property” means copyrights, patents, trademarks, trade secrets, and proprietary rights of Curiosity Automation or third parties. “Agreement” refers collectively to these Terms, Privacy Policy, and any signed service contracts, quotations, or proposals. 3. Services Provided Curiosity Automation provides, including but not limited to: Software Solutions – Web and mobile application development, ERP systems, custom automation, API integration, and SaaS platforms. Digital Marketing Services – SEO, SEM, social media marketing, online advertising, branding, email marketing, and content strategy. Website & App Development – UI/UX design, hosting setup, deployment, and ongoing maintenance. Automation & AI Solutions – Business process automation, chatbot integration, data-driven decision systems. Training & Consultancy – Corporate training, online courses, technical workshops, and strategy consulting. The Company reserves the right to modify, suspend, or discontinue services at any time without prior notice. 4. User Eligibility & Obligations You must be at least 18 years old and capable of entering into a legally binding agreement. You agree not to use our services for illegal, unethical, or harmful purposes (e.g., spamming, fraud, data theft, copyright violations). You are responsible for ensuring that all content, data, and materials you provide: Do not infringe third-party rights. Are accurate and lawful. Are provided in the agreed timeline to avoid project delays. 5. Payment Terms & Billing Estimates/Quotations: Service costs will be provided via official quotations/proposals. Advance Payment: A non-refundable advance (usually 30–50%) may be required to begin any project. Milestone Payments: Large projects may be billed in stages. Work may pause if milestones are unpaid. Delays: Delayed payments may result in suspension of services, late payment fees, or project termination. Refunds: No refunds once work has commenced, unless explicitly agreed in writing. Marketing/advertising campaign payments to third parties (Google Ads, Meta, etc.) are non-refundable. 6. Intellectual Property Rights Ownership Before Payment: All Deliverables remain the sole property of Curiosity Automation until full payment is made. Ownership After Payment: Upon full payment, ownership rights of the final Deliverables are transferred to the Client, unless stated otherwise in the contract. Company Rights: We may retain rights to use non-confidential portions of completed projects for portfolio and marketing purposes. Pre-existing Assets: Any frameworks, libraries, or third-party tools used remain under their respective licenses and are not transferred. 7. Confidentiality & Non-Disclosure Both parties agree to maintain strict confidentiality regarding proprietary business information, project details, strategies, and client data. Exceptions: Information required by law, court order, or government authorities. The Company may sign a separate Non-Disclosure Agreement (NDA) upon request. 8. Data Protection & Privacy We comply with applicable data protection laws (including Indian IT Act and GDPR if applicable). Client data will only be used for service delivery and not shared with third parties without consent, except where legally required. Clients are responsible for compliance with data privacy laws when sharing personal data with us. 9. Service Delivery, Timelines & Client Delays Timelines are estimated and subject to dependencies on client inputs, third-party approvals, and unforeseen factors. Delays caused by the client (e.g., late feedback, missing content, approvals) may result in revised deadlines and additional costs. The Company will not be held responsible for missed deadlines due to external dependencies. 10. Warranties & Limitations of Liability No Guarantee of Outcomes: While we provide professional services, we do not guarantee specific results such as SEO rankings, revenue increase, or app store approvals. Software Warranties: We provide a 30–90 day bug-fix warranty post-delivery (unless otherwise agreed). After that, maintenance is billed separately. Liability Cap: Our maximum liability for damages shall not exceed the total fees paid by the client for the specific service. Exclusions: We are not liable for: Third-party system failures (e.g., hosting, payment gateways, Google Ads). Loss of profits, data, or business opportunities. Indirect, incidental, or consequential damages. 11. Third-Party Services Some services depend on third-party platforms (e.g., hosting providers, ad networks, APIs). The Company is not responsible for downtime, errors, or policy changes made by such providers. Clients must comply with third-party terms (e.g., Google Ads policies, Facebook Ads guidelines). 12. Indemnification You agree to indemnify and hold harmless Curiosity Automation, its directors, employees, and affiliates from any claims, damages, losses, or legal actions arising out of: Misuse of services. Violation of third-party rights. Non-compliance with laws and regulations. 13. Termination of Services By the Company: We may suspend or terminate services if you breach these Terms, fail to pay, or engage in unethical activities. By the Client: You may terminate services with written notice; however, payments already made are non-refundable. Effect of Termination: All outstanding dues become payable immediately, and intellectual property remains with the Company until cleared. 14. Force Majeure We shall not be liable for delays or failures caused by events beyond our control, including natural disasters, strikes, internet outages, cyberattacks, government actions, or pandemics. 15. Governing Law & Jurisdiction These Terms are governed by the laws of India, and any disputes shall fall under the exclusive jurisdiction of the courts in Pune, Maharashtra. 16. Dispute Resolution Parties shall first attempt to resolve disputes amicably through negotiation. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration venue shall be Pune, Maharashtra, and proceedings will be conducted in English. 17. Amendments We reserve the right to update these Terms at any time. Updates will be published on our website, and continued use of services constitutes acceptance of the revised Terms. 18.
